DISTRIBUTOR & AFFILIATE AGREEMENT, POLICY, RULES AND PROCEDURES

1.POLICIES

1.1. A Distributor/Affiliate must always conduct all their business with honesty, integrity and professionalism.

1.2. A Distributor/Affiliate will always promote Libidno Products to the best of their ability without over claiming the quality of the product.

1.3. A Distributor/Affiliate must present the business opportunity and compensation plan both accurately and truthfully without promising or guaranteeing unrealistic levels of income.

1.4. A Distributor/Affiliate must abide by the Libidno Products corporate philosophies and values as well as the letter and spirit of the Policies, Rules and Procedures.

1.5. As in any mutual agreement involving a financial transaction, each party accepts certain responsibilities and is expected to live up to them in good faith.

2 . RULES.

2.1 A Distributor/Affiliate must not make guarantees on behalf of Libidno other than the guarantee stated by Libidno.

2.2 A Distributor/Affiliate must be at least 18 years old.

2.3 A prospective Distributor must furnish Libidno with an application to become a distributor and a sales tax documentation where required. A prospective Affiliate must complete the affiliate registration process.

2.4 The applicant agrees that the information furnished in the application form is correct and true to the best of their knowledge.

2.5 The Distributor will be provided a user id and password to access to the Distributor area of the webpage to conduct business.

2.6 Libidno reserves the right to immediately terminate a Distributorship or Affiliate for any reason including fraud, misrepresentation, violation of rules or procedures, and conduct that damages the brand.

2.7 Libidno reserves the right to either approve or decline an application without having to provide notification or reason.

2.8 Distributors/Affiliates are responsible for filing all necessary federal, state and local taxes.

2.9 Distributors/Affiliates may use social media site, e.g. Facebook, Twitter, LinkedIn, blogs, forums and chat rooms or other social shared interest sites to communicate information about Libidno products as long as the following requirements are met: (1) Distributors/Affiliates must include their name and clearly identify themselves as an "independent distributor" or “affiliate” on all posts or profiles generated in any social community where the individual mentions or discusses Libidno. (2) Distributors/Affiliates are personally responsible for the content they publish in the social community and public forum. Distributors/Affiliates must make it clear they speaking for themselves and not on behalf of Libidno.

2.10 Distributors/Affiliates will maintain minimum advertised pricing no less than the prices posted on Libidno’s Website for marketing Libidno. Distributors will be provided access to Libidno’s confidential wholesale pricing and agree to keep distributor pricing confidential.

3. TERMINATION

3.1 Should a Distributor/Affiliate wish to terminate their relationship with Libidno they should notify us in writing. Distributor/Affiliate accounts with no activity in 6 months time will be considered inactive and the account may be terminated.

3.2 Libidno has the right to immediately terminate or suspend the status of any Distributor/Affiliate for any violation of the policies and procedures, which may be amended from time to time, the commission of a felony or act of moral turpitude, misrepresenting or poorly representing the company and/or brand.

4 KEY ASPECTS

4.1 Nothing in this agreement shall establish an employment relationship between the Distributor/Affiliate and Libidno and nothing shall establish the Distributor/Affiliate as procurer, broker, mandatory commission agent, contracting representative or other representative of Libidno.

4.2 When purchasing and selling Libidno products, the Distributor/Affiliate shall act as an independent contractor acting in his / her own name, at his / her own responsibility and for his / her own account. The Distributor shall purchase from Libidno products for use and for resale to customers.

4.3 Distributors/Affiliates may advertise using existing Libidno Products advertising materials and literature.

4.4 Distributors/Affiliates will maintain minimum advertised pricing no less than the prices posted on Libidno’s Website for marketing Libidno. Distributors will be provided access to Libidno’s confidential wholesale pricing and agree to keep distributor pricing confidential.

4.5 This Agreement is effected as of the date of acceptance by Libidno of the applicant’s Libidno Distributor Agreement. Such acceptance shall be in the form of the issue of a Distributor Credentials by Libidno.

4.6 The Agreement may not be assigned or ceded without prior written consent of Libidno.

4.7 Libidno Products shall not be liable for any incidental or consequential damages cause by its breach, cancellation or suspension of this agreement, whether or not the possibility for such damages is known to Libidno.

5.ORDERS

5.1 A distributor must place an order by completing the online distributor ordering process provided to the Distributor after execution of the Distribution Agreement.
